Sale to listed UK company
Els assisted a Dutch entrepreneur specialising in the design, manufacture and installation of advertising column signage, price signs and awnings for petrol stations, during the sale of his company to a listed UK firm. Els conducted negotiations with the buyer's London-based legal team in collaboration with the seller's financial advisers, and prepared the transaction documents.
Els provided advice during the establishment of an international joint venture in France between a Dutch family business and a German company. She negotiated the joint venture agreement and prepared the management agreement, service level agreement and other documentation in collaboration with the French lawyer.
Collaboration in MBI
Els was involved in an MBI in which the buyer was seeking to participate in a company specialising in sugar, coffee and chocolate specialities. In addition to preparing the purchase agreement, shareholders' agreement, management agreement and cash loans, Els adjusted the company's structure to reflect the new partnership in consultation with the civil-law notary.
